General Terms of Use

Welcome to netsaude365.com, the platform and online service of Zu Consulting & Services, used by hospitals and clinics to provide healthcare services to patients around the country. This term of service (the “Agreement”) explains the terms by which hospitals, Doctors, Labs, and Pharmacies may use the platform in connection with services they provide to patients and the public.

By ACCESSING OR using the platform, YOU ARE AGREEING TO BE BOUND BY THIS AGREEMENT. Please read this Agreement carefully to ensure that you understand each provision.

We may, in our discretion, modify or update this Agreement from time to time, by posting such changes on the platform or making the changes available through any other reasonable means. Your continued access to or use of the platform after any such change constitutes your acceptance of the change.

You should be aware that Zu Consulting & Services and its platform netsaude365.com are not service providers of medical advice or healthcare services. Zu Consulting & Services leases the platform to healthcare providers, including hospitals, private clinics, Labs and Pharmacies for their use when providing services to patients.

Our service

NetSaúde365.com is a cloud-based telehealth platform providing services to Patients, Doctors, Hospitals/Clinics, Labs and Pharmacies.

• Through the platform, patients will have medical records digitalized and accessible 24 hours from anywhere in the world.
• Doctors will be able to perform online/virtual consultations, send lab exam requests directly to Labs, and medication prescriptions directly to pharmacies.
• Health insurance companies and companies with health plans for their employees will be able to approve all requests for healthcare services online.

The platform is an innovation that will improve the way medical records are stored and healthcare services are provided in Mozambique. It decreases the number of in-person visits patients are required to make currently; prevents loss of medical records; decreases the usage of papers and x-ray films – saving money to clinics and labs.

Eligibility

This is a contract between you (Healthcare providers and Patients) and Zu Consulting & Services. You may use the Service only if you can form a binding contract with Zu Consulting & Services, and only in compliance with this Agreement and all applicable laws, rules, and regulations in effect within Mozambique.

Any use of the Service by a User that is not eligible under and according to these Terms of Service is prohibited, and we have no responsibility or liability for any such prohibited use.

Terms of Use for Healthcare Providers

Whether you register an account on the platform or use the platform without registering an account, you may access the platform and functionality that we may establish and maintain from time to time and in our sole discretion subject to this Agreement. We may maintain different types of accounts (“User Accounts”) for different types of Users. To access certain features or areas of the Platform, you may be required to provide personal and/or demographic information as part of a registration or log-in process. We may reject, or require that you change, any username, password, or other information that you provide to us in registering.

The use of the Platform is fee based and you agree to pay the fee to Zu Consulting & Services.

You may never use another Users’ User Account without permission. When creating your User Account, you must provide accurate and complete information, and you must keep this information up to date (this includes your contact information, so that we can reliably contact you). You are solely responsible for the activity that occurs on your User Account, and if you are required to provide a password for your User Account, you must keep it secure. You must notify Zu Consulting & Services immediately of any breach of security or unauthorized use of your User Account. Zu Consulting & Services will not be liable for any losses caused by any unauthorized use of your User Account.

By providing your email address and other contact information, you consent to our using such contact information to send you netsaude365.com related notices by email, or any other contact form you may provide us with (including your phone number for calls or text messages) and you agree to receive such notices. Zu Consulting & Services is not responsible or liable for any loss, injury, or claim of any kind resulting from your failure to receive or read these communications, or from your failure to comply with any treatment recommendations contained in these communications.

If you provide your mobile phone number, you hereby affirmatively consent to our use of your mobile phone number for calls and texts (including prerecorded and/or by automatic telephone dialing systems) to perform and improve upon the services, and to provide you with information and reminders regarding the Platform and any Membership Plan, including your registration, upcoming changes, and updates.

Acceptable Use

You agree not to engage in any of the following prohibited activities: (i) copying, distributing, disclosing, or exploiting any part of the Platform in any medium, including by any automated or non-automated “scraping”; (ii) systematically downloading or storing Platform content; (iii) transmitting spam, chain letters, or other unsolicited email; (iv) attempting to interfere with, compromise the system integrity or security or decipher any transmissions to or from, the servers running the Platform; (v) uploading invalid data, viruses, worms, or other software agents through the Service; (vi) collecting or harvesting any personally identifiable information, including account names, patients medical records from the Platform; (vii) impersonating another person or otherwise misrepresenting your affiliation with a person or entity, conducting fraud, or hiding or attempting to hide your identity;

You agree not to post User Content that: (i)contains any information or content that you do not have a right to make available under any law or under contractual or fiduciary relationships; or (ii) contains any information or content that you know is not correct and current.

If the Platform permits interaction with other Users, you are solely responsible for such interactions. We reserve the right, but have no obligation, to monitor disputes between you and other Users. Zu Consulting & Services shall have no liability for your interactions with other Users, or for any User’s action or inaction.

You agree not to commit the following violations

• Registering Doctors without license to practice in Mozambique, with expired license, or under disciplinary process.
• Violation of Privacy Policy, including sharing patient confidential information without patient’s consent.
• Use of the platform with expired or revoked license.
• Use of the platform for objectives other than those described on this Terms of Use.
• Failure to pay due fees.

Termination

This Agreement is effective until terminated. Zu Consulting & Services may terminate or suspend your use of the Platform at any time and without prior notice, for any or no reason, including if Zu Consulting & Services believes that you have violated or acted inconsistently with the letter or spirit of this Agreement. Upon any such termination or suspension, your right to use the Platform will immediately cease, and Zu Consulting & Services may, without liability to you or any third party, immediately deactivate or delete your username, password, and account, and all associated materials, without any obligation to provide any further access to such materials.

Terms of Use for Patients

When you create an account with netsaude365.com, your account will be kept for life. Zu Consulting & Services will make sure data saved on your account is safe, secure, and available to you and your healthcare providers always as long as you pay your annual subscription of the plan of your choice.

If subscription expires and not renewed, your account will automatically become inactive preventing you from logging in. Hospitals will not be able to schedule appointments and doctors will be unable to access medical records of inactive accounts as well.

By creating an account at netsaude365.com, you agree with the general terms of use and the ones specifically applied to you, including paying your annual subscription fee.

Zu Consulting & Services does not undertake any responsibility in relation to the quality of the healthcare services or the way they are provided by Doctors, Labs, Pharmacies, and other healthcare related service providers.

Zu Consulting & Services does not provide any physicians’ or other healthcare providers’ (collectively, “Providers”) services itself. Moreover, Zu Consulting & Services does not recommend or endorse any specific Providers, tests, medications, products, or procedures. All Providers are independent of Zu Consulting & Services and are using netsaude365.com to communicate with you and provide healthcare services you need. Any information or advice received from a Provider comes from the Provider, and not from Zu Consulting &Services.

Healthcare Providers, and not Zu Consulting & Services, are responsible for the quality and appropriateness of any care that they render to you. While Zu Consulting & Services may facilitate your selection of and communications with Providers, Zu Consulting & Services does not provide medical services or medical advice, and any doctor-patient relationship is only between you and the applicable Provider.

Prescription Policy

Neither Company nor the Providers endorse any specific medication, pharmacy, or pharmacologic product. If a Provider prescribes a medication, the Provider may limit supply based upon state regulations, and may only prescribe a medication as determined in their own discretion and professional judgment.

You agree that any prescriptions that you acquire from a Provider will be solely for your personal use. You agree to fully and carefully read all provided product information and labels and to contact a physician or pharmacist if you have any questions regarding the prescription. If you receive a prescription for a medication, you have the option to instruct the applicable Provider to transmit that prescription to the pharmacy of your choice.

Risks of Telehealth Services

Although the electronic systems we use incorporate network and software security protocols to protect the privacy and security of health information, those protocols could fail, and there could be a breach of privacy of your health information. Unfortunately, the transmission of information via the Internet is not completely secure.

Although we take commercially reasonable steps designed to protect your personal information, we cannot guarantee the security of your personal information transmitted to, or through, our Service. Any transmission of personal information is at your own risk. We are not responsible for circumvention of any privacy settings or security measures employed by the Service.

By using the Service, you acknowledge these limitations, and agree to assume the risk of these limitations.

Security

Zu Consulting & Services seeks to use commercially reasonable safeguards to preserve the integrity and security of your personal information and implement your privacy settings. However, we cannot guarantee that unauthorized third parties will never be able to defeat our security measures or use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.

Third Party Materials

Netsaude365.com may contain links to third-party information, products, services, or other materials that are not owned or controlled by Zu Consulting & Services. Zu Consulting & Services does not endorse or assume any responsibility for any Third-Party Materials, including the accuracy, validity, timeliness, completeness, reliability, integrity, quality, legality, usefulness, or safety of Third-Party Materials, or any Intellectual Property Rights therein.

Nothing in this Agreement shall be deemed to be a representation or warranty by Zu Consulting & Services with respect to any Third-Party Materials. We have no obligation to monitor Third Party Materials, and we may block or disable access to any Third-Party Materials (in whole or part) through netsaude365.com at any time. In addition, the availability of any Third-Party Materials through netsaude365.com does not imply our endorsement of, or our affiliation with, any provider of such Third-Party Materials, nor does such availability create any legal relationship between you and any such provider.
